By accessing and using the US Industrial Exchange (USIX, USIE) platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree to these terms, please do not use our platform.
US Industrial Exchange (USIX) is a neutral online marketplace platform that facilitates communication and transactions between buyers, sellers, and factoring partners in the industrial materials industry. USIX Is NOT a buyer, seller, agent, carrier, insurer, or party to any transaction.
We do not:
- Buy, sell, or take possession of any products
- Ship, store, or handle materials
- Verify product quality, quantity, or specifications
- Guarantee delivery, pricing or payment
- Insure goods or transactions
- Assume liability for any aspect of transactions
Users must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials
By placing or accepting orders through USIX, you confirm that you or the ordering individual have the authority to bind your company to the transaction.
Users are solely responsible for the accuracy of all information provided, including product descriptions, quantities, pricing, delivery details, and payment information.
All transactions are solely between the buyer, the seller and the factoring partner. USIX is not a party to any contract and assumes no contractual obligations.
- Orders placed through USIX become binding when accepted by the seller
- Buyers are responsible for ensuring order accuracy before submission
- Sellers are responsible for fulfilling accepted orders as specified
All delivery, shipping and logistics arrangements are the sole responsibility of the buyer and seller. USIX does not verify delivery information, track shipments or mediate delivery disputes.
5. Limitation of Liability
IMPORTANT – PLEASE READ CAREFULLY:
USIX EXPRESSLY DISCLAIMS ALL LIABILITY FOR:

- Product quality, quantity, specifications, or suitability
- Pricing, payment terms, or financial arrangements
- Delivery schedules, methods, or accuracy
- Accuracy of information provided by users
- Disputes between buyers and sellers
- Breaches of contract by any party
- Loss, damage, or delays of materials
- Any direct, indirect, incidental, or consequential damages
Any disputes regarding transactions must be resolved directly between they buyer, seller, and/or factoring partner. USIX is not responsible for mediating, arbitrating, or resolving disputes.
Users agree that they will not hold USIX for any disputes, claims, damages arising from transactions conducted to through this platform.
User may not:

- Use the platform for any illegal or unauthorized purpose
- Provide false, inaccurate, or misleading information
- Interfere with or disrupt the platform’s operation
- Attempt to gain unauthorized access to the platform
- Harass, abuse, or harm other users
- Violate any applicable laws or regulations
All content, trademarks, and intellectual property on the USIX platform are owned by US Industrial Exchange or its licensors. Users may not copy, modify, distribute, or create derivative works without express written permission.
Your use of the platform is also governed by our
Privacy Policy, which describes how we collect, use, and protect your information.
USIX reserves the right to modify these Terms of Use at any time. Continued use of the platform after changes constitutes acceptance of the modified terms. We will notify users of material changes via email or platform notification.
USIX reserves the right to suspend or terminate user accounts at any time for violation of these Terms of Use or for any other reason at our sole discretion.
These Terms of Use shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions.
13. Fee(s) & Fee Structure
USIX shall charge a fee on the gross volume (tons) of each order placed regardless of actual fulfillment between the buyer, seller and factoring partner. USIX reserves the sole right, at its discretion to modify, adjust or change this fee structure without notice. Any changes to this structure will be applicable to any future order(s) not currently pending or completed at the time of change. The fee structure for platform use shall be the greater of (i) a 5% (five percent) adder to the gross price per ton from the seller to the buyer OR (ii) a markup of $0.85 (eighty-five cents) per ton on the total price per ton of material if the price by the seller be less than $17.00 (seventeen dollars) per ton in the marketplace.
Sellers shall be obligated to pay any Fee(s) owed from Section 13, Fee(s) & Fee Structure, payable in full within 30 (thirty) days of an order being accepted. Sellers will either (i) be issued a direct invoice from USIX for the fee(s) OR (ii) have fee(s) deducted from any invoice(s) factored to USIX’s factor partner(s) should the seller elect to factor a invoice(s) in partiality or totality.
